Whether for-profit or not, privately or publicly owned, listed or unlisted, large, medium or small, every organizational entity needs a system of good governance. An organization without good governance would be like a house with foundation problems. Governance means putting in place a set of mechanisms, the combination of which depends on the nature and size of the organizational entity, to enable the organization to achieve its objectives effectively.
Considered the most important governance mechanism, the Board of Directors is made up of a group of directors whose main roles are to ensure the strategic direction of the organization, recruit a competent management team to implement the set orientations, determine the remuneration of members of management, and monitor, control and, if necessary, dismiss them. In other words, the Board of Directors (i.e., the directors) is the guarantor of the organization's objectives, growth and success.
This book provides a comprehensive overview of all aspects of corporate governance, with particular emphasis on the board of directors: roles and responsibilities, theoretical foundations and approaches, structure and operation, qualities of a director, and the particularities of not-for-profit organizations. In short, everything there is to know about the board of directors, from a practical and scientific point of view.
